| The Board's comments on this appointment (including rationale, selection criteria, and the search and nomination process) | The Board having interviewed Mr Feng Jun, reviewed and considered the curriculum vitae of Mr Feng Jun for appointment as Non-Executive Director of the Company respectively, is of the view that his knowledge, experience and extensive knowledge in the capital markets will be of high value to the Group in its future developments. Because he is a nominee of S.I. Infrastructure Holdings Limited on the board of the Company, he is required to, and had confirmed in his letter dated 7 December 2009 to the Company and the Sponsor that he will abstain from voting at board meetings and/or making any recommendation to the Company's shareholders in the capacity of a non-executive director of the Company in relation to any proposed corporate transactions which involve S.l. lnfrastructure Holdings Limited and General Water Of China Co., Ltd. Based on the foregoing, the Board is of the view that there is no conflict of interest to the appointment of Mr Feng Jun as a Non-Executive Director. | |
